Terms of Service
These Terms of Service govern CutWave Studio's professional video editing and post-production services, client portfolio and promotional permissions, and our internal content-publishing tools and third-party platform integrations.
1. Purpose & Scope
CutWave Studio provides professional video editing, post-production, motion graphics, sound design, color grading, and related creative services to creators, brands, and businesses worldwide. In providing these services, CutWave Studio also utilizes internal content-publishing tools and workflows designed to prepare, schedule, and publish video content directly to connected YouTube, Instagram, and Facebook accounts. These Terms of Service outline the mutual responsibilities, intellectual property rights, promotional and portfolio permissions, and platform terms governing our client engagements and publishing operations.
2. Authorized Use
The publishing tools and workflows are intended exclusively for use by authorized CutWave Studio team members. Connected accounts should only be linked and used by individuals who have the explicit permission and authority to access and manage those respective third-party platform accounts.
3. Content Ownership & Intellectual Property
When engaging CutWave Studio or utilizing our tools and services, the following intellectual property principles apply:
- Client Ownership: The client retains full ownership, title, and intellectual property rights in their original raw footage, audio recordings, project briefs, scripts, brand assets, logos, trademarks, and other proprietary materials provided to CutWave Studio. CutWave Studio does not claim ownership of client footage, brand assets, or intellectual property merely because it edited, processed, or rendered the material.
- Third-Party Content & Licenses: The client remains responsible for granting the necessary permissions, clearances, and licenses for any third-party content, music, sound effects, fonts, stock media, or assets they supply to CutWave Studio for inclusion in deliverables, subject to the parties' agreement.
- Deliverables & Commercial Scope: Upon full payment of applicable fees and subject to the underlying agreement, the client receives the agreed rights to the completed deliverables. Any promotional permissions granted to CutWave Studio are strictly limited to the agreed promotional and portfolio purposes outlined herein and do not authorize unrelated commercial exploitation, licensing, or resale of client deliverables to third parties.
- Lawful Content & Compliance: We only publish content that CutWave Studio owns or has the necessary rights, licenses, and permissions to distribute. Users of our services and tools must ensure that all video content complies with all applicable intellectual property, privacy, and copyright laws.
4. Portfolio and Promotional Use of Completed Work
CutWave Studio takes pride in high-caliber post-production and may request permission from clients to showcase selected completed videos that it has edited for the following professional purposes:
- Displaying selected completed work on the CutWave Studio website, showcase pages, and public portfolio.
- Demonstrating editing quality, visual storytelling, motion graphics, color grading, sound design, and other post-production skills.
- Showcasing selected completed work in business presentations, creative proposals, case studies, and promotional pitch materials.
- Sharing approved examples directly with prospective clients to demonstrate the studio's technical capabilities, artistry, and production standards.
Any portfolio showcase of completed work is subject to the following clear conditions:
- Subject to Client Consent & Agreements: Portfolio publication is strictly subject to the client's applicable consent, the specific service agreement, and any confidentiality obligations. CutWave Studio does not claim automatic or unlimited rights to publish every deliverable.
- Confidentiality and NDAs: Where a client has requested confidentiality, where project material is unreleased or under embargo, or where the project is subject to a Non-Disclosure Agreement (NDA), CutWave Studio must obtain the necessary prior authorization before publishing any identifiable project material.
- Communicating Restrictions: Clients can communicate any preferences, embargo periods, or restrictions on portfolio use before work begins or at any point during the engagement.
- No Unrelated Exploitation: Any permission granted to CutWave Studio is strictly limited to the agreed promotional purposes and does not authorize unrelated commercial exploitation, licensing, or resale of the client's deliverables.
5. Behind-the-Scenes Content and Marketing
To showcase our post-production process, creative workflows, and editing expertise, CutWave Studio may request permission to create and publish behind-the-scenes promotional content related to its video editing work. Examples of behind-the-scenes content include:
- Short screen recordings showing the editing software timeline, cut sequences, and editing workflow.
- Before-and-after editing comparisons demonstrating color correction, color grading, pacing, stabilization, or audio cleanup.
- Short clips demonstrating color grading, transitions, motion graphics, sound design, visual effects, or dynamic captioning.
- Approved work-in-progress previews and milestone edits.
- Editing process demonstrations and creative breakdowns.
- Short promotional clips showing how CutWave Studio transforms supplied raw footage into a polished, high-retention finished video.
Where the client has authorized behind-the-scenes promotional content, the following rules and limits strictly apply:
- Maximum Promotional Post Limit: Where the client has authorized this use, CutWave Studio may publish up to 10 promotional posts per client project or engagement across its official Instagram, Facebook, and YouTube channels combined.
- Combined Total Across Platforms: The 10-post limit applies to the total number of promotional posts across all three platforms combined, not 10 posts per individual platform. For example, 4 Instagram posts, 3 Facebook posts, and 3 YouTube posts would equal the maximum allowable 10 promotional posts.
- Definition of a Promotional Post: A promotional post is defined as one separately published piece of content. Cross-posting the same content to another platform counts as another post toward the 10-post maximum. This limit represents an absolute ceiling, not a guaranteed posting schedule or an obligation to create 10 posts for every project.
- Branding and Calls to Action: Authorized promotional posts may feature CutWave Studio's business name, branding, watermark, and a reasonable professional call to action.
- Strict Scope of Permission: Only material covered by the client's permission may be published. Raw footage archives, full unedited recordings, unreleased marketing campaigns, private client communications, personal information, confidential documents, and sensitive business information must not be exposed without explicit authorization.
- Protection of Credentials and Data: Behind-the-scenes content must not reveal client passwords, access tokens, account credentials, private dashboards, customer data, or confidential project information. All sensitive timeline labels, file paths, or private data will be obscured, blurred, cropped, or excluded prior to publishing.
- Precedence of NDAs and Embargoes: If a client requires an NDA, embargo, or additional approval, those restrictions take precedence over general promotional permission. Material will not be shared until the embargo has elapsed or required approvals are granted.
- No Misleading Endorsement: CutWave Studio will not use client content in a misleading way or imply a commercial endorsement, sponsorship, or partnership that the client has not provided.
6. Client Consent and Restrictions
CutWave Studio operates on mutual trust and transparent client consent. Permissions for promotional use are managed under the following framework:
- Distinct Categories of Permission: We distinguish between two separate categories of permission, which clients may grant or decline independently:
- Portfolio Permission: Permission to display approved completed deliverables on CutWave Studio's website, public portfolio, and in business presentations or prospective client proposals.
- Behind-the-Scenes Permission: Permission to create and publish approved editing-process demonstrations, timeline previews, and transformation breakdowns across our official Instagram, Facebook, and YouTube channels, subject to the maximum limit of 10 promotional posts per project or engagement.
- No Automatic or Presumed Consent: The client's decision to purchase video editing services, send footage, or approve a finished deliverable is not treated as automatic consent to publish confidential or unpublished material. If consent has not been obtained, or if the applicable agreement requires prior approval, CutWave Studio will not publish the relevant material until authorization is secured.
- Client Preference and Opt-Out: Clients can request that their project not be used for promotional purposes and can notify CutWave Studio of confidentiality requirements before sharing materials or at any stage during the engagement.
7. Withdrawal and Removal Requests
Clients who have granted promotional permissions may request that future promotional use be discontinued or that previously published promotional content be removed:
- Submitting a Request: Clients may contact CutWave Studio at [email protected] to request that future portfolio or promotional use of their project be discontinued, or to request removal of previously published material. Please include relevant project details and links to the content in question.
- Review and Handling: CutWave Studio will review and handle these requests within a reasonable period, subject to applicable legal obligations and any existing contractual requirements.
- Removal on Controlled Channels: Where reasonably practicable, CutWave Studio will remove or disable access to the relevant material on digital channels, social media pages, and websites under its direct control.
- Third-Party Limitations: CutWave Studio cannot guarantee the removal of copies, screenshots, shares, caches, search engine previews, or reposts independently retained or distributed by third parties outside its control.
- Contractual Independence: A withdrawal or removal request does not automatically cancel or alter unrelated contractual obligations, outstanding invoices, or completed service deliverables.
8. Third-Party Platforms & APIs
Our publishing activity relies on third-party platform systems and APIs. When content is published to these platforms, their respective terms and rules apply. By using these integrations, you must also comply with:
9. Availability & Disclaimers
Our publishing tools are internal utilities provided to facilitate our video distribution workflow. CutWave Studio is not responsible for:
- Third-party platform outages or API deprecations.
- Publishing failures, delays, or errors caused by external services.
